These Terms and Conditions ("Terms") govern access to and use of the Localy Admin Dashboard ("Dashboard") and the administrator onboarding flow, intended for business users (B2B). These Terms do not cover Localy applications or services intended for end consumers. However, location data and Venue descriptions entered in the Dashboard may be displayed publicly on a discovery platform (mobile or web app) operated by Localy.
"Admin" / "You" – the person who creates or uses an account in the Dashboard on behalf of a business entity. "Business" – the legal entity or authorized person represented by the Admin. "Account" – the Admin account created through authentication (including Supabase Auth or third‑party authentication such as Google Sign‑In). "Brand" – the commercial identity (chain/brand) managed in the Dashboard. "Venue" – the physical location of a business unit (restaurant, café, etc.) managed in the Dashboard. "Content" – data entered by the Admin (e.g., Brand/Venue information, text, descriptions) as well as materials generated using AI features in the Dashboard. "Services" – the functionality provided by the Dashboard, including AI‑assisted generation of fields (e.g., keywords, offerings, location descriptions).
a) For data related to Admin accounts and technical use of the Dashboard, HGA Systems SRL acts as a data controller. b) For data uploaded by the Business in the Dashboard regarding Venues, descriptions, images, or other information entered by the Business, the Business acts as a data controller and HGA Systems SRL acts as a processor, processing data solely to provide the Services. c) The Business is responsible for ensuring a lawful basis exists for any personal data entered into the Dashboard and that required notices have been provided to data subjects. To the extent HGA Systems SRL acts as a processor, the data protection provisions of these Terms constitute the parties’ data processing agreement under Art. 28 GDPR.
By using the Dashboard, you confirm that you are at least 18 years old and have the legal authority to represent and bind the Business on whose behalf you accept these Terms. By clicking the "Accept" button during onboarding, you expressly confirm your authority to bind the Business to these Terms.
Acceptance: Acceptance of the Terms occurs upon first access to the Dashboard by explicitly clicking the "Accept" button. Records: We will record the accepted document version along with the date/time and account identifier (timestamp + version). Updates: We may update these Terms from time to time. If changes are significant, we will provide reasonable prior notice (e.g., in the Dashboard or by email). Continued use of the Services after the effective date of a new version constitutes acceptance of the changes.
Authentication: Dashboard authentication is provided via Supabase Auth (email and/or other supported methods, including Google Sign‑In). Choice of authentication method is up to the user. When using Google Sign‑In, certain profile data (such as email address and display name) may be retrieved to create the account, in accordance with Google’s privacy policy. Credential confidentiality: You are responsible for maintaining the confidentiality of authentication credentials (e.g., passwords, tokens) and for all activity under your Account. Incident notification: You must notify us immediately at the support address if you suspect unauthorized access or misuse of your Account.
The Dashboard allows management of Brands and Venues and provides an AI function that can generate content for certain fields based on Admin input (such as keywords, offerings, and location descriptions). As part of AI functionality, some text provided by the Admin may be transmitted to an external LLM provider (e.g., OpenAI or Azure OpenAI) for processing and content generation. AI limitation: We do not guarantee the accuracy, completeness, or compliance of AI‑generated output. The Admin is responsible for carefully reviewing and validating any AI‑generated Content before publication or use. Localy uses PostHog for behavioral and technical analytics, collecting data about interface usage (clicks, navigation, load times, errors, usage flows) together with online identifiers and device data. PostHog does not access Admin‑entered content and does not collect sensitive commercial data. In certain cases, Localy may use aggregated anonymized statistical data to provide general insights to Businesses. The legal basis is Localy’s legitimate interest in maintaining security, stability, and service quality. Where providers involve transfers outside the EEA, transfers are carried out using appropriate legal mechanisms (e.g., EU Standard Contractual Clauses or other GDPR‑recognized safeguards).
By using the Services, you agree to provide real, current, and verifiable information about the Brand and/or Venue; ensure you hold all necessary rights to the Content you upload; not introduce illegal, misleading, defamatory content or content that infringes third‑party rights; not introduce sensitive personal data (GDPR Art. 9), third‑party trade secrets, or unnecessary confidential information. Please avoid entering sensitive personal data or information you do not wish to see reflected in AI outputs. The Admin and Business agree not to enter personal data of customers, employees, or other individuals unless a valid legal basis exists and required GDPR notices have been provided. Localy has no obligation to verify the legality of data entered and assumes no liability for personal data entered without a legal basis. If you provide explicit consent via a separate checkbox, Localy may use the public image of your Brand/Venue (including name, logo, authorized photos) in promotional, informational, or public communications without including commercial or confidential data. Consent is optional and may be withdrawn at any time.
You retain intellectual property rights to all Content you provide. By entering Content into the Services, you grant HGA Systems SRL a non‑exclusive, worldwide, royalty‑free license, valid for as long as the Content exists in the Services, strictly to the extent necessary to provide the Services and operate the Localy platform, to host, store, reproduce, format, and display Content within the Dashboard and to publicly display Content associated with Venues in the discovery platform. Consent for visible promotion: With separate explicit consent, Localy may use the Venue name, logo, and public images for public communication and marketing (e.g., press releases, social media, newsletters) without including commercial or confidential data. You can withdraw Content at any time by deleting or editing it; after this action it will no longer be publicly displayed, though copies may temporarily persist in backups according to retention policies.
The Localy platform (including but not limited to software, UI, source code, pre‑trained AI models, standard texts, data structures, and trademarks) is owned by HGA Systems SRL or its licensors. By using the Services you do not acquire any intellectual property rights in the Platform or its components, except for the limited usage rights expressly granted in these Terms. Any rights not expressly granted remain reserved in favor of HGA Systems SRL.
The platform is built on a multi‑tenant principle (multiple administrators/organizations use the same platform). We implement appropriate technical and organizational measures so that an Admin can access only the Brands and Venues of their own organization, and data/content/statistics of a particular Admin/Business are not visible to any other Admin/Business. Despite these measures, no system is 100% infallible. If you identify unauthorized access to data, you must notify us immediately. In the event of a security incident affecting data processed within the Services, Localy will take reasonable steps to limit impact and will notify the affected Business without undue delay, where the incident poses a risk to its data.
We make reasonable efforts to keep the Services available and functional continuously, but we do not guarantee uninterrupted availability. Planned maintenance or unplanned outages (technical incidents) may occur. We reserve the right to modify, suspend, or discontinue any functionality of the Platform (including beta/early access features) if needed for maintenance, service improvements, or security. Services may initially be offered free of charge, including as beta or early access, and your feedback is appreciated.
Promotional period: Currently, access to the Dashboard and use of the Services is provided free of charge on a promotional basis, without a predetermined duration. Paid plans: We reserve the right to introduce paid subscription plans and/or impose limits on the free plan (e.g., maximum number of manageable Venues or monthly AI usage volume). Any such changes will be communicated clearly and reasonably before they take effect. Opt‑out: If you do not agree to new commercial terms, you may stop using the Services and request export and/or deletion of account data in accordance with applicable policies (including the Privacy Policy).
We reserve the right to suspend or immediately terminate your access to the Services if you breach these Terms or the acceptable use policy, if your use creates a risk to the security or lawful operation of the platform, or if termination is necessary for legal compliance or to protect our rights, property, or safety or those of third parties. You may stop using the Services at any time by deleting your Account or ceasing access. Upon termination, access to the Dashboard may be disabled immediately and account data may be deleted in accordance with retention policies and applicable law. Data may be temporarily retained for: compliance with legal obligations, dispute resolution, fraud prevention, and maintenance of technical backups. Backups are overwritten or deleted periodically, typically within a maximum of 90 days. Security and audit logs may be retained for up to 12 months, unless law requires a longer period.
The Services are provided "as is" and "as available", without any warranty, express or implied, regarding accuracy, completeness, reliability, technical compatibility, uninterrupted availability, or fitness for a particular purpose. Localy does not provide strategic, commercial, or marketing advice and does not guarantee results. To the extent permitted by law, HGA Systems SRL shall not be liable for any indirect, incidental, special, or consequential losses (including loss of profit, business opportunities, data loss, or reputational harm). If total exclusion is not possible, liability is limited to reasonably foreseeable direct damages. Nothing in these Terms excludes or limits liability that cannot be excluded by law. Governing law and jurisdiction: Romania. Use of the Localy Services is also governed by the applicable Privacy Policy, which forms an integral part of these Terms.
